Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you and Workbook ("Workbook", "we", "us") and govern your access to and use of the Workbook platform, websites, mobile applications, and related services (together, the "Service"). Workbook is a software platform that helps field service businesses manage their operations, workforce, scheduling, and customer relationships.

By creating an account, accepting an invitation, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization, and "you" refers to that organization. If you do not agree to these Terms, do not use the Service.

1.Acceptance of Terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and any policies referenced here, including our Privacy Policy. We may also ask you to accept supplemental terms for certain features; where those supplemental terms conflict with these Terms, the supplemental terms control for that feature.

You must be of legal age to form a binding contract and not be barred from using the Service under any applicable law.

2.Description of Service

The Service provides tools for organizations that deliver field services to manage their day-to-day operations. Depending on your plan and configuration, this may include managing team members, scheduling and dispatching work, coordinating with customers, recording job details, and generating operational records.

We may add, change, or remove features over time to improve the Service. We will use reasonable efforts to avoid materially degrading core functionality, but the Service is provided on an evolving basis.

3.Accounts and Registration

To use most features, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

  • Keep your credentials secure and do not share them with unauthorized persons.
  • Notify us promptly if you suspect any unauthorized access to or use of your account.
  • Account administrators are responsible for the team members and roles they invite, and for ensuring those users comply with these Terms.

4.Acceptable Use

You agree to use the Service only for lawful business purposes. You will not:

  • Violate any applicable law, regulation, or the rights of any third party.
  • Use the Service to harass, defame, discriminate against, or harm any person.
  • Upload or process data that you are not authorized to handle.
  • Attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks.
  • Reverse-engineer, decompile, scrape, or otherwise attempt to extract source code or underlying data, except to the extent expressly permitted by law.
  • Interfere with or disrupt the integrity or performance of the Service, including by introducing malware or placing excessive load on our infrastructure.
  • Resell or provide the Service to third parties except as expressly permitted.

We may investigate and take appropriate action, including suspending or terminating access, for any conduct we reasonably believe violates these Terms or harms the Service or other users.

5.Customer Data and Ownership

"Customer Data" means the data and content that you or your team members submit to or generate through the Service, including information about your organization, your team, your customers, and the services you offer. As between you and Workbook, you retain all rights in and to your Customer Data.

You grant Workbook a limited, worldwide, non-exclusive license to host, process, transmit, display, and otherwise use Customer Data solely to provide, secure, and improve the Service, and as otherwise described in our Privacy Policy. You are responsible for the accuracy and legality of your Customer Data and for having the necessary rights and consents to provide it to us.

6.Subscriptions and Fees

Access to paid features is provided on a subscription or other basis as set out in the plan or order you select or in a separate written agreement with us. Fees, billing frequency, and any applicable trial terms are as agreed between you and Workbook.

  • Unless otherwise agreed, fees are payable in advance and are non-refundable except where required by law.
  • You are responsible for any taxes associated with your use of the Service, other than taxes based on our net income.
  • We may suspend access for non-payment after providing reasonable notice and an opportunity to cure.
  • We may change pricing on a prospective basis; changes will not apply to a paid term already in progress unless otherwise agreed.

7.Intellectual Property

The Service, including its software, design, text, graphics, and trademarks, is owned by Workbook or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted to you in these Terms, we reserve all rights, title, and interest in and to the Service.

If you provide us with feedback or suggestions about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without restriction.

8.Third-Party Services

The Service may integrate with or link to services provided by third parties, such as mapping, messaging, payment, or analytics providers. Your use of those third-party services is governed by their own terms and privacy policies, and we are not responsible for their content, availability, or practices. Enabling a third-party integration may involve sharing certain data with that provider as needed for the integration to function.

9.Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

To the maximum extent permitted by applicable law, Workbook and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Service. To the maximum extent permitted by law, our aggregate liability arising out of or relating to these Terms or the Service will not exceed the amounts you paid to us for the Service in the twelve months preceding the event giving rise to the claim.

10.Termination

You may stop using the Service at any time, and account administrators may close their organization's account in accordance with the in-product controls or by contacting us. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if your continued use poses a risk to the Service or other users.

Upon termination, your right to use the Service ends. We will handle any Customer Data following termination in accordance with our Privacy Policy and applicable retention obligations. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, and governing law.

11.Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will provide reasonable notice, for example by posting the updated Terms with a new "Last updated" date or by notifying you through the Service. Changes take effect when posted unless stated otherwise. Your continued use of the Service after changes become effective constitutes your acceptance of the updated Terms.

12.Governing Law

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of [Jurisdiction], without regard to its conflict-of-laws principles. The courts located in [Jurisdiction] will have exclusive jurisdiction over such disputes, except where applicable law provides otherwise.
